These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Panacea Care LLC, the owner and operator of the PanaceaCare™ platform (“PanaceaCare,” “we,” “us,” or “our”), governing your access to and use of our website, applications, patient portals, communications, and services that link to or reference these Terms (collectively, the “Site”).
By accessing or using the Site, including by creating an account, starting an intake process, scheduling or receiving services, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Arbitration Agreement and Class Action Waiver set forth below. If you do not agree, you must not access or use the Site.
We may maintain records of your acceptance, including timestamps, IP address, device or browser information, interface version, and the version of the Terms accepted.
1. Changes to These Terms
We may revise these Terms at any time. Updated Terms will be posted on the Site with a revised “Last updated” date. Material changes will apply prospectively and, where required by law, we will provide additional notice or request affirmative consent.
Your continued use of the Site after updated Terms become effective constitutes acceptance of those Terms.
2. Eligibility
The Site is intended for individuals who are at least eighteen (18) years of age. If you are under 18, you may use the Site only with the consent and direct supervision of a parent or legal guardian who agrees to these Terms on your behalf.
We do not knowingly collect personal information from children under the age of 13.
3. Geographic Scope
The Site is operated from the United States and is intended for use only in jurisdictions where PanaceaCare and its affiliated healthcare providers are authorized to provide services. Accessing the Site from locations where services are not permitted is prohibited.
By using the Site, you consent to the processing and storage of your information in the United States.
4. Medical Services and Emergency Disclaimer
PanaceaCare provides access to telehealth and virtual healthcare services delivered by licensed healthcare professionals, where permitted by law.
Healthcare providers delivering services through the Site are independent licensed professionals who are solely responsible for their own medical judgment, diagnosis, and treatment decisions.
The Site does not provide emergency medical services. If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.
Information provided through the Site is not a substitute for in-person medical care when required and does not create a provider-patient relationship except as established through an authorized telehealth encounter.
5. User Accounts
Certain features require account registration. You agree to provide accurate, current, and complete information and to keep your account information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify PanaceaCare immediately of any unauthorized access or use.
We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.
6. Acceptable Use
You agree not to:
- Use the Site for unlawful, fraudulent, or unauthorized purposes
- Interfere with or attempt to bypass security features or access controls
- Use automated means, including bots or scrapers, without written permission
- Upload malware, harmful code, or content that degrades Site functionality
- Harass, abuse, threaten, or harm others
- Reverse engineer, decompile, or disassemble any portion of the Site except as permitted by law
We may monitor Site usage and take appropriate enforcement action.
7. Intellectual Property
All content on the Site, including text, graphics, logos, software, and trademarks, is owned by or licensed to PanaceaCare and protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. All rights not expressly granted are reserved.
8. User Content and Feedback
If you submit feedback, comments, or other content (“User Content”), you represent that you have the legal right to do so.
You grant PanaceaCare a perpetual, worldwide, royalty-free license to use, reproduce, modify, display, and distribute such content solely for operating, improving, and promoting the Site. You retain ownership of your User Content.
We may remove User Content at our discretion.
9. Privacy and HIPAA Compliance
Your use of the Site is governed by our Privacy Notice and HIPAA practices, which are incorporated by reference.
PanaceaCare complies with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and applicable privacy and security laws. Nothing in these Terms limits our legal obligations regarding Protected Health Information.

10. Cookies and Analytics
We use cookies and similar technologies to operate, analyze, and improve the Site. You may manage preferences through available controls. We honor applicable privacy signals where required by law.
11. Third-Party Services
The Site may link to or integrate with third-party services. PanaceaCare does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is governed solely by their terms.
12. Mobile Applications
If you use a PanaceaCare mobile application, you are granted a limited, revocable license to install and use the app on a device you own or control, subject to these Terms and applicable app store rules.

14. Site Availability
We may modify, suspend, or discontinue the Site at any time without notice. We do not guarantee uninterrupted, secure, or error-free operation.
15. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PANACEACARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. Dispute Resolution, Arbitration, and Class Action Waiver
PLEASE READ CAREFULLY. THIS AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Site (“Dispute”) shall be resolved by binding, individual arbitration governed by the Federal Arbitration Act, except where prohibited by law.
You and PanaceaCare waive any right to bring or participate in class, collective, or representative actions.
Either party may bring an individual claim in small-claims court if eligible.
This section survives termination of your account or use of the Site.
17. Limitation of Liability
To the fullest extent permitted by law, PanaceaCare will not be liable for indirect, incidental, consequential, special, or punitive damages.
PanaceaCare’s total liability for any claim shall not exceed the greater of one hundred dollars ($100) or the amount paid by you to PanaceaCare in the twelve (12) months preceding the claim, except where liability cannot be limited by law.
18. Indemnification
You agree to indemnify and hold harmless PanaceaCare and its affiliates from claims, damages, losses, and expenses arising from your use of the Site, violation of these Terms, or violation of law.
19. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except that arbitration is governed by the Federal Arbitration Act.
20. Electronic Communications and Signatures
You consent to receive communications electronically and agree that electronic records and signatures satisfy legal requirements.
21. Entire Agreement
These Terms, together with incorporated policies, constitute the entire agreement between you and PanaceaCare regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect.
We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
